Terms of Service

1. Acceptance of Terms

By accessing or using Velvo Analytics (the "Service"), provided by Velvoshopping d.o.o. ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Velvoshopping d.o.o. By clicking "I Agree," connecting your Amazon Seller Central account, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Service Description

Velvo Analytics is a cloud-based Software-as-a-Service (SaaS) platform that provides inventory management, analytics, and insights for Amazon sellers. The Service includes, but is not limited to:

• Real-time inventory tracking across Amazon fulfillment centers
• Visual flow mapping of product movements
• Automated low-stock and restocking alerts
• Performance analytics and reporting
• Integration with Amazon's Selling Partner API (SP-API)
• Future features including AI-powered demand forecasting (as announced)

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any features at any time with or without notice.

3. Account Registration and Security

3.1 Eligibility

To use the Service, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have an active Amazon Seller Central account in good standing
• Have the legal authority to bind yourself or your organization to these Terms
• Provide accurate, current, and complete information during registration

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring compliance with Amazon's policies and these Terms

3.3 Account Information

You agree to provide accurate and complete information and to keep your account information up to date. You may not use another person's account without permission, and you may not share your account credentials with others except as permitted by our multi-user access features (when available).

4. Subscription and Billing

4.1 Subscription Plans

Velvo Analytics offers multiple subscription tiers with varying features and pricing:

• Free Trial: 14-day trial period with full access to features (no credit card required)
• Basic Plan: Core inventory tracking and alerts
• Professional Plan: Advanced analytics, forecasting, and premium support
• Enterprise Plan: Custom solutions for high-volume sellers

4.2 Billing and Payment

Subscription fees are billed on a recurring basis (monthly or annually) based on your selected plan. You authorize us to charge your payment method on file for all applicable fees. Pricing is subject to change with 30 days' notice.

• All fees are non-refundable except as required by law or as specified in Section 5
• Payments are processed securely through Stripe
• Failed payments may result in service suspension or termination
• You are responsible for all applicable taxes

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your subscription tier.

5. Cancellation Policy

5.1 Free Trial

We offer a 14-day free trial for new users. No credit card is required to start your trial. You may cancel at any time during the trial period without charge.

5.2 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

• Your access will continue until the end of your current billing period
• No refunds will be issued for partial months or unused time
• Your data will be retained for 30 days, after which it will be permanently deleted
• You may reactivate your account within 30 days without data loss

5.3 No Refunds

All subscription fees are non-refundable. We encourage you to take advantage of the 14-day free trial to evaluate the Service before committing to a paid subscription.

In exceptional circumstances (such as billing errors or extended service outages), we may issue refunds or credits at our sole discretion. Contact support@velvoshopping.eu if you believe you qualify.

6. Acceptable Use Policy

6.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service solely for managing your own Amazon seller account and business operations.

6.2 Prohibited Activities

You agree NOT to:

• Violate any laws, regulations, or Amazon's Selling Partner API policies
• Use the Service to access or monitor another seller's data without authorization
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use automated scripts, bots, or scrapers to access the Service (except API integrations)
• Transmit viruses, malware, or malicious code
• Attempt to gain unauthorized access to our systems or networks
• Resell, sublicense, or redistribute the Service without written permission
• Use the Service for competitive analysis or benchmarking without consent
• Interfere with or disrupt the Service or servers
• Remove or obscure any copyright, trademark, or proprietary notices

7. Amazon SP-API Integration

7.1 Authorization

By connecting your Amazon Seller Central account to Velvo Analytics, you grant us permission to access your seller data through Amazon's Selling Partner API (SP-API) in accordance with the permissions you authorize.

7.2 Data Access

We only access the following data necessary to provide the Service:

• Inventory levels and fulfillment center locations
• Product SKUs, ASINs, and FNSKUs
• Inbound shipment tracking information
• Sales performance metrics (aggregated, non-customer data)

We do NOT access customer personally identifiable information (PII), payment data, or customer contact details.

7.3 Amazon Compliance

You acknowledge that:

• You remain responsible for compliance with all Amazon policies
• You may revoke our access at any time via Seller Central → Apps & Services → Manage Your Apps
• We are not responsible for actions Amazon takes regarding your seller account
• Amazon may change or restrict SP-API access, which could affect Service functionality

7.4 Third-Party Terms

Your use of the Service is also subject to Amazon's terms and policies, including but not limited to the Amazon Services Business Solutions Agreement and SP-API Terms of Use. In the event of a conflict, Amazon's terms shall prevail with respect to Amazon data.

8. Intellectual Property Rights

8.1 Ownership

The Service, including all software, designs, text, graphics, logos, and other content (excluding your data), is owned by Velvoshopping d.o.o. and is protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms. This license does not include:

• The right to sublicense, distribute, or resell the Service
• The right to modify, copy, or create derivative works
• Any proprietary algorithms, trade secrets, or source code

8.3 Your Data

You retain all rights to your business data and information you provide to the Service. You grant us a limited license to use your data solely to provide the Service and improve our features (in anonymized, aggregated form).

8.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide license to use and incorporate such feedback without compensation or attribution.

9. Data Privacy and Security

9.1 Privacy Policy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

9.2 Data Security

We implement industry-standard security measures to protect your data, including:

• Encryption in transit (TLS/SSL) and at rest
• Secure authentication and access controls
• Regular security audits and monitoring
• Compliance with GDPR and data protection regulations

9.3 Data Retention

We retain your data only as long as necessary to provide the Service or as required by law. Upon account termination or deletion request, your data will be permanently deleted within 30 days.

9.4 GDPR Rights

10. Service Availability and Support

10.1 Uptime SLA

We strive to maintain 99.9% uptime for the Service (excluding scheduled maintenance). However, we do not guarantee uninterrupted access and are not liable for downtime caused by:

• Scheduled maintenance (notified in advance)
• Force majeure events (natural disasters, pandemics, etc.)
• Third-party service failures (Amazon SP-API, cloud infrastructure)
• Your internet connectivity or device issues

10.2 Customer Support

Support is available based on your subscription tier:

• Free Trial & Basic: Email support (48-hour response time)
• Professional: Priority email support (24-hour response time)
• Enterprise: Dedicated account manager and phone support

10.3 Modifications to Service

We reserve the right to modify, update, or discontinue features at any time. We will provide reasonable notice for significant changes that materially impact functionality.

11. Limitations of Liability

11.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELVOSHOPPING D.O.O., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Inventory shortages, stockouts, or lost sales resulting from use of the Service
• Actions taken by Amazon regarding your seller account
• Third-party integrations or services (Stripe, Cloudflare, etc.)

11.3 Cap on Liability

Our total liability to you for all claims arising from or related to these Terms or the Service shall not exceed the total amount you paid us in the 12 months preceding the claim, or €100 (whichever is greater).

11.4 Basis of the Bargain

You acknowledge that we have set our prices and entered into these Terms in reliance upon these limitations of liability, which allocate risk between us and form a basis of the bargain.

12. Indemnification

You agree to indemnify, defend, and hold harmless Velvoshopping d.o.o., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms or any applicable laws
• Your violation of Amazon's policies or terms
• Your data or content provided to the Service
• Infringement of third-party intellectual property or privacy rights

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

• Canceling your subscription through account settings
• Revoking Amazon SP-API access via Seller Central
• Contacting support at support@velvoshopping.eu

13.2 Termination by Us

We may suspend or terminate your account immediately without notice if:

• You violate these Terms or our Acceptable Use Policy
• Your payment fails or account is past due
• We are required to do so by law or court order
• You engage in fraudulent or illegal activity
• Your Amazon seller account is suspended or terminated

13.3 Effect of Termination

Upon termination:

• Your access to the Service will be immediately revoked
• All outstanding fees become immediately due
• Your data will be retained for 30 days, then permanently deleted
• Sections 8, 9, 11, 12, and 15 of these Terms survive termination

14. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will:

• Notify you via email at least 30 days before the changes take effect
• Post a notice on our website and in the Service
• Update the "Last Updated" date at the top of this document

Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must cancel your subscription before they take effect.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law principles.

15.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Zagreb, Croatia.

15.3 Informal Resolution

Before initiating formal proceedings, you agree to first contact us at legal@velvoshopping.eu to attempt to resolve the dispute informally. We will work in good faith to reach a mutually acceptable resolution within 30 days.

15.4 Waiver of Class Actions

You agree that any disputes will be resolved on an individual basis and not as part of a class action, consolidated action, or representative action.
